1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and GrabClaw ("we," "us," or "our") governing your use of the GrabClaw desktop application, website, and optional API channel services (collectively, the "Service").

We may update these Terms from time to time. When we make material changes, we will notify you via the application or by email. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.

2. Description of Service

GrabClaw is a local-first AI assistant desktop application for macOS and Windows. The Service includes:

• The GrabClaw desktop client application (free to download and use).
• Optional API channel services that route your AI model requests through GrabClaw's infrastructure at discounted rates.
• The GrabClaw website and documentation.
• Community skills and plugin ecosystem.

GrabClaw does not provide cloud hosting, cloud storage, or managed AI infrastructure. All AI conversations and personal data are processed and stored locally on your device.

3. Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Service. By using GrabClaw, you represent and warrant that you meet this requirement.

If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

4. Accounts and Security

An account is only required if you choose to use GrabClaw's optional API channels. The desktop application itself can be used without an account using your own API keys.

• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activity that occurs under your account.
• You must notify us immediately at [email protected] if you suspect unauthorized access to your account.
• You may not share your account or API keys with others.
• We may suspend or terminate accounts that violate these Terms.

5. Billing and Payments

• The GrabClaw desktop application is free to download and use indefinitely.
• API channel credits are prepaid. You purchase credits in advance and they are consumed as you make API calls.
• All fees are displayed clearly before purchase. Prices are subject to change with reasonable notice.
• Payments are processed by a third-party payment processor. We do not store your full payment card details.
• Credits are non-refundable except where required by applicable law or at our sole discretion.
• Unused credits do not expire as long as your account remains active.
• We reserve the right to adjust pricing for API channels. Existing purchased credits will be honored at the rate at which they were purchased.

6. Acceptable Use

You agree to use GrabClaw only for lawful purposes and in accordance with these Terms. You agree not to:

• Violate any applicable local, national, or international law or regulation.
• Use the Service to generate, distribute, or facilitate illegal, harmful, abusive, harassing, defamatory, or fraudulent content.
• Attempt to gain unauthorized access to any part of the Service, other accounts, or connected systems.
• Reverse engineer, decompile, or disassemble the GrabClaw application except as permitted by applicable law.
• Use our API channels to circumvent rate limits or usage policies of underlying AI providers.
• Resell, sublicense, or redistribute access to GrabClaw's API channels without our written permission.
• Use the Service to train competing AI models or to systematically extract data from our infrastructure.
• Impersonate any person or entity or misrepresent your affiliation with any person or entity.
• Introduce malware, viruses, or other malicious code into the Service.

We reserve the right to suspend or terminate access for violations of this section without prior notice.

7. AI Outputs and Responsibility

7.1 AI Output Disclaimer

GrabClaw facilitates access to third-party AI models. The outputs generated by these models are provided for informational and productivity purposes only. They do not constitute professional, legal, medical, financial, or other expert advice. We make no representations or warranties regarding the accuracy, completeness, or reliability of AI-generated content.

7.2 Your Responsibility for AI Use

You are solely responsible for:

• Reviewing and verifying AI-generated outputs before acting on them.
• Ensuring that your use of AI outputs complies with applicable laws and regulations.
• Any automated agents or workflows you configure using GrabClaw, including their interactions with third-party services.
• The content of prompts and instructions you provide to AI models.

7.3 Automation Risk

GrabClaw supports automated tasks, scheduled jobs, and agent workflows. You acknowledge that automated actions carry inherent risks including unintended outputs or actions. You should carefully review and test any automation before deploying it in consequential contexts.

8. API Channels

GrabClaw's optional API channels provide access to third-party AI models at discounted rates by routing requests through our infrastructure.

• API channel availability depends on our agreements with underlying AI providers and may change.
• We do not guarantee specific uptime or response times for API channels, as these depend on third-party providers.
• Your use of AI models through our channels is also subject to the terms of service of the respective AI providers (OpenAI, Anthropic, Google, etc.).
• We reserve the right to add, remove, or modify available models and pricing with reasonable notice.
• We may implement rate limits to ensure fair access for all users.

9. Intellectual Property

The GrabClaw application, website, brand, and all related content are owned by GrabClaw or its licensors and are protected by intellectual property laws.

You retain full ownership of all content, prompts, configurations, and data you create using GrabClaw. We claim no ownership over your work.

The GrabClaw core is open source. Your use of the open-source components is governed by the applicable open-source license. Commercial use of the GrabClaw brand or proprietary components requires our written permission.

10. Third-Party Services

GrabClaw integrates with and facilitates access to third-party services including AI model providers, messaging platforms, and community skill providers. Your use of these services is governed by their own terms and privacy policies. We are not responsible for the availability, accuracy, or conduct of third-party services.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED AVAILABILITY.

We do not warrant that the Service will be error-free, that defects will be corrected, or that the Service or the servers that make it available are free of viruses or other harmful components.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GRABCLAW SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

13. Indemnification

You agree to indemnify, defend, and hold harmless GrabClaw and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Service, your violation of these Terms, or your violation of any third-party rights.

14. Termination

You may stop using GrabClaw at any time. Deleting the application from your device terminates your use of the desktop client. To close your API channel account, contact us at [email protected].

We may suspend or terminate your access to API channels if you violate these Terms, engage in fraudulent activity, or if required by law. We will provide reasonable notice where possible, except in cases of serious violations.

Upon termination of your account, any unused API credits may be forfeited unless otherwise required by applicable law.

15. Export Compliance

You agree to comply with all applicable export control laws and regulations. You may not use the Service if you are located in a jurisdiction subject to applicable trade sanctions or embargoes, or if you are listed on any government restricted party list.

16. Governing Law and Disputes

These Terms are governed by and construed in accordance with applicable law. Any disputes arising out of or relating to these Terms or the Service that cannot be resolved informally shall be submitted to binding arbitration, except where prohibited by applicable law.

Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm.

17. Changes to These Terms

We may update these Terms periodically to reflect changes in our Service, legal requirements, or business practices. We will notify you of material changes by updating the "Last updated" date and, where appropriate, by sending an email notification or displaying a notice in the application.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms.
